NOTICE OF EXTRAORDINARY GENERAL MEETING
The members of PMI Singapore Chapter (SPMI) are hereby invited to the Extraordinary General Meeting (EGM) on Wednesday, 11 December 2013at 7.00pm at Singapore Post Centre, 10 Eunos Road 8, Theatrette Level 5.

Proposed Resolution
The proposed resolution concerns amendments to SPMI's Constitution to ensure the SPMI Constitution aligns with PMI bylaws model. In accordance with the Annual General Meeting on 25-April-2013:
“Mr. Senaka Tiranagama proposed appointing a Constitution Changes Committee from the floor, and the Committee to review and propose the changes to the Board, and members’ approval at an EOGM. No objections were raised from the floor.”

Requirements for resolution
In accordance with SPMI's constitution, a resolution can only be passed if:
1. at least two weeks’ notice of an Extraordinary General Meeting;
2. at least 25% of the total voting Membership or 30 voting Members, whichever is the lesser, present at a General Meeting shall form a quorum. Proxies shall not be counted as part of the quorum;
3. In the event of there being no quorum at the commencement of a General Meeting, the meeting shall be adjourned for half an hour and should the number then present be still insufficient to form a quorum, then those present shall be considered a valid quorum, but they shall have no power to amend any of the existing Constitution, nor to amend or revoke Bylaws, nor to remove Executive Committee members from their offices
By operation of the Societies Act, a society can submit their applications for amendment of rules via the Registry of Societies. Societies are required to submit their applications after the resolution to amend the constitution is passed at a general meeting of members, in accordance with the society's existing constitution.

4. Reference to the Revised Constitution, to vote for additional clause to 8.2.3:
A Member standing for election as a President must have previously served at least one complete term as an Officer and one complete term as a Committee Member. The term may have occurred at any time prior to the Member’s standing for election.
5. Reference to the Revised Constitution, to vote for additional definition Financial Reserve and revise clause 12.6.6:
"Financial Reserve is an account or accounts set aside by the Society to meet any unexpected costs that may arise in the future as well as the future costs of upkeep. The account(s) can be a fixed deposit account, investment in Government Securities or a combination of both."
12.6.6 should read as:
"The Executive committee shall establish policies and procedures to govern the management of its finances and shall submit required tax filings to appropriate government authorities. The policies and procedures shall include the proportion of the Financial Reserves to be invested in fixed deposit account, investment in Government Securities or a combination of both."
6. Reference to the Revised Constitution, to vote for remove Clause 8.2.3:
"A Member standing for election as an officer must have previously served at least one complete term as an Officer or a Committee Member. The term may have occurred at any time prior to the Member’s standing for election.”
